В термшите и прочих подобных документах вы часто увидите термин «fully diluted valuation». Типичный слог, когда вы получаете оффер, в разделе про валюацию следующий:

Что это значит простым языком?

Речь о том, чтобы понять сколько всего будет акций в компании, когда она реализует все опционы сотрудников из ESOP, сконвертирует в акции все конвертируемые займы и варранты.

Помните стартаперов Женю и Илью с их компанией «Funware Ltd.»? Напомним, они договорились о том, что инвестор получит 25% компании, инвестировав в компанию $50,000. Для определенности, инвестора зовут Павел Николаевич. Captable этой сделки следующий (всего 100,000 акций):

Первичный captable

Стартап потихоньку развивался на эти деньги и быстро нашел первую бизнес-модель.

Женя с Ильей решили выделить опцион своему программисту Олегу за его заслуги. Чтобы сразу заложить запас для опционов сотрудникам, они принимают решение авторизовать выпуск еще 10000 акций в опционный пул ESOP, естественно, получив при этом одобрение Павла Николаевича. При этом подчеркнем, что эти опционные акции обычно еще не существуют, они лишь одобрены для выпуска.

Итого теперь у компании 110,000 fully diluted акций, хотя еще существуют 100,000 акций. Таким образом, Женя, Илья и Павел Николаевич договорились о степени своего размытия, когда будут начислять опционы выдающимся сотрудникам. Теперь, давайте сделаем пример веселее: Олегу в итоге выделили опцион на 2500 акций (естественно, из ESOP):

Таким образом, в fully diluted раскладе у Олега 2.27% компании.

Компания растет бурно и есть понимание как расти быстрее, принимается решение привлечь Seed-раунд на $300,000 при оценке pre-money $2,700,000. Ребята знакомятся с венчурным фондом Uklad.VC, который отправляет им термшит с оффером следующего вида:

Речь о том, что расклад в компании до инвестирования фондом Uklad.VC, включает все, в т.ч. не выпущенные ESOP акции. То есть $2.7M pre-money стоят не 102,500 акций (включая Олега, но не включая остальные невыпущенные акции ESOP), а все 110,000 fully diluted акций. Также, последним приложением в абзаце инвестор подчеркивает, что он собирается получить 10% за свои $300,000. Считаем, сколько надо выпустить акций новому инвестору:

Number of new shares = [Investment Amount] * [Current Fully Diluted Shares] / [Pre-money valuation], что в нашем случае:

$300,000 * 110,000 / 2,700,000 = 12,222 новых акций.

Таким образом новый captable будет выглядеть так:

Подчеркнем, к примеру, что 2500 акций Олега никуда не делись, но теперь размылись с 2.27% до 2.05%. Размытие касается ВСЕХ предыдущих акционеров и ESOP.

Вывод

  • решаясь выдать опцион сотрудникам, обьясните им, что их доля будет размываться вместе со всеми, ибо число их акций фиксировано, а суммарный каптейбл компаний — не убывает.
  • никогда не используйте термин: «Олег, даю тебе 2%», ибо на практике люди думают, что у них останется 2% даже после новых инвестиционных раундов. Покажите им эту статью 🙂
  • как вариант, выдавая сотруднику опцион, обьясните опцион на сколько акций вы ему даете, а также сколько всего fully diluted акций в компании (не раскрывая акции остальных акционеров, если это тайна). Сотрудники хотя бы будут понимать свой расклад
  • учитывайте при расчете Fully Diluted Captable все т.н. «outstanding liabilities»: конвертируемые займы, опционы, варранты
  • при любом финансировании своей компании (equity-раунд, конвертируемый займ, варранты) всегда считайте эксельку с captable, чтобы понимать в каких пределах произойдет размытие текущих акционеров при вхождении нового инвестора

Fully Diluted Market Cap (FDV)

The cryptocurrency market has learned a lot from the stock market. Many of the terms and operations used in crypto trading originate from stock trading. One of them is a Fully Diluted Valuation, aka fully diluted market cap or FDV. This parameter helps investors familiarize themselves with the project and decide if it’s a good investment. From this article, you may learn what fully diluted market cap is, what meaning FDV has for the crypto industry, how to use this metric, and so on.

What Is Fully Diluted Market Cap?

We will provide a definition valid for the cryptocurrency industry. Fully diluted market cap or fully diluted valuation (FDV) is a metric calculated via the following formula: all the asset units authorized multiplied by the current asset price. When market capitalization takes into consideration only the tokens in circulation, FDV evaluates all the possible forms of an asset, including options, convertible debt, etc.

We can’t say that all investors acknowledge the importance of FDV. Some of them see FDV as misleading and not that helpful. In contrast, others believe this valuation is a crucial component of the overall correct estimation of the potential returns of the project.

Market Cap vs. Fully Diluted Market Cap

Many of us got used to the market cap term. The original notion associated with stocks in the company differs from the market cap in crypto. Stocks can serve as a distributed ownership of the company, and significant shareholders can participate in decision-making processes. The companies sell goods, but they are evaluated not through the volume of their sales but via market capitalization (the combined worth of the company’s stocks). Cryptocurrencies are rated in a similar manner.

The proof-of-stake-based networks have a similar principle. But in general, on the crypto market, the market cap is plainly a product of all tokens in circulation to the asset’s current price. It doesn’t mean anything else. It’s not a distributed ownership of the company. Investors use the market cap to evaluate the cryptocurrency project.

The logic is so simple we can call it primitive — trustworthy projects have huge market capitalization. Investors will wholeheartedly invest in crypto with a $10 billion market cap, while coins with a market cap below $1 million will not be taken seriously.

The market cap of securities and cryptocurrencies can change with time as the number of outstanding units is not constant. It is especially fair for cryptocurrencies. New tokens get issued/minted/mined/unlocked all the time. That’s why for crypto assets, we can use a diluted market cap instead. As cryptocurrency projects usually announce the maximum supply from the very beginning, we can calculate the FDV.

Let’s say Bitcoin is $22,000 today, and 19 million Bitcoins are already in circulation. We know about 4 million is lost, but we won’t consider it. Not because it’s the right thing to do but simply because no one does it. The total supply of Bitcoin is 21 million. Now let’s count. Bitcoin’s market cap is 19 million multiplied by $22,000, which equals $418 billion. The FDV of Bitcoin is 21 million multiplied by $22,000, which equals $462 billion.

Stock investors use FDV to calculate the potential price drop of the asset. We’ll show you the logic behind it using a Bitcoin example. They take the current market cap and divide it by the total supply of coins. It helps to show how much the price can decline when the total amount of the asset units hits the circulation.

$418 billion / 21 million units = $19,619

So if we agree that the Bitcoin market cap is $418 billion and it’s not going to grow, when 21 million Bitcoins are in circulation, the price will drop from $22,000 to $19,619. If the remaining FDV is higher, the potential for a price drop is higher. That’s what investors are trying to learn about the asset using FDV before they invest. However, not everyone believes that FDV is that important.

The Dangers of High Fully Diluted Market Cap

Market cap, as well as fully diluted market cap, are not constants. The fully diluted value changes with time when the asset’s price grows or drops significantly. That’s what happens in the crypto market all the time, making market cap and FDV as volatile as prices. It somewhat decreases the usefulness of FDV of cryptocurrencies.

When the market cap clearly signifies the project’s market presence, FDV is not that straightforward. Coins with colossal market caps are popular. They have a strong trading flow, and people invest in them easily. A cryptocurrency with high FDV can be a relatively new project that is not familiar to the crypto community. For whatever reasons, it can have a hefty price and a considerable remaining amount of unissued tokens that, multiplied by this price, give you impressive FDV numbers.

However, if the project fails to make its way to the top crypto projects, if it doesn’t take off, its value may diminish, and you will find that FDV wasn’t that important at that stage. It’s better to take this measure into consideration when you deal with more or less well-established coins that have already proved the ability to keep their heads above the surface for years.

Another factor that makes FDV unsuitable for some cryptocurrencies is that many have an unlimited supply. It means that inflation can reach high levels. Even though many of these projects have sold significant amounts of tokens in ICO, issuance of new tokens/coins continues at high speed.

Examples of Low Circulating Supply

When new projects sell only a tiny share of their supply (one-third or less) at the initial token sale, they often face a quick drop in value as the new coins/tokens continue to appear on the market fueling inflation. It leads to a decline of interest in the project by investors, stinging the price even worse. That’s why many projects strive to sell over 50% of their total supply in the early days. The lower the FDV / market cap ratio, the better chance the token won’t fall victim to inflation.

A play-to-earn token TryHards is one of the cryptocurrencies that lost its value due to high FDV despite selling 36% of its total supply in the initial sale. Now, early investors don’t have many chances to return on their investments. As of February 10, the TRY price is 99.74% down from the all-time high. The ROI score is negative and close to -100%.

Is Fully Diluted Market Cap a Good Valuation Metric?

You can use fully diluted valuation differently. Not all the ways can be helpful in cryptocurrencies. However, this valuation can help you when you consider whether or not you should invest in a new little-known project. If FDV is considerably higher than the current market capitalization and inflation-provoking tokenomics, then the project doesn’t have a good chance of taking off.

If you become good at doing this analysis before you buy the new token, then FDV can serve you a good service. Definitely, we can’t say anything bad about this metric. The more analysis tools you use, the more precise your picture of the future is.

Число уникальных адресов

Если растет число адресов в сети того или иного DeFi-протокола, то значит растет и активность, а именно спрос на токен.

Однако нечестные проекты могут создавать сотни и даже тысячи фейковых адресов, чтобы участники рынка думали, что проект активный. Использовать этот индикатор стоит в последнюю очередь и в этом поможет платформа Dune Analytics, представляющая собой дашборд с динамикой новых адресов.

Объем торгов

Мы рекомендуем обращать внимание на объем торгов монетами в тандеме с рыночной капитализацией. Все очень просто – если если большой объем торгов, значит монета ликвидна, а это очень важно для любого проекта.

However, this is more of a coincidence than a feature. Cryptocurrencies are ranked based on their market cap.

A market cap is short for market capitalization and refers to the value of a company, stock, or crypto in the eyes of the market. Market caps are influenced by both current price and circulating supply following the formula below:

MC = current price x circulating supply

This is a confusing concept for many novice investors who simply look at the price when considering the growth potential of an asset. However, the circulating supply has an equal if not larger impact on a market cap.

Market Cap example

Take dogecoin for instance. This meme coin targets many investors with limited financial knowledge. Their reasoning for buying dogecoin could be that dogecoin has a lot of growth potential due to its incredibly low price.

An example of a faulty line of reasoning:

Why would I buy a tiny fraction of Bitcoin when I could get hundreds or even thousands of doge coins? After all, if dogecoin ever reached the price of Bitcoin, owners would boast well over a 10,000x times gain.

But I can say with 100% certainty that dogecoin will never reach Bitcoin prices. I know this because of its market cap.

Dogecoin intentionally has a comically large circulating supply of $100 billion coins! If dogecoin reached even a price of $1000 it would have a market cap of 100 Trillion dollars.

To put that into perspective Apple has a market cap of $2.5 trillion dollars. Dogecoin would have a market cap of over 40 times that of Apple and larger than the world’s GDP. Any higher and dogecoin reaches a market cap larger than the money in the world!

It is easy to look at a low price and think it could shoot up allowing you to make multiple times your initial investment. But as demonstrated by the dogecoin example, the price can be deceiving. Market cap is the metric investors need to look at when comparing assets.

FDV and inflated supply

This analysis is even more complicated in crypto due to emissions. Unlike most stocks, many large cryptocurrencies have not reached their maximum supply. This is especially true for early projects. Oftentimes these developing projects reward tokens to incentivize participation, pay staff, and distribute rewards. Even the biggest projects are still emitting tokens. Bitcoin incentivizes miners by paying out new Bitcoin for every block mined. So while a project may have a small circulating supply to start it will eventually have a much larger supply later down the line. This increased supply often harms the price or suppresses growth in the value of an asset. This means that long-term investors have to pay attention to both the current and future supply.

Let’s look at an example in the form of an upcoming blockchain game called Illuvium.

At the time of writing Illuvium ($ILV) has a circulating supply of around 650 thousand according to the coin market cap. But its max supply is a whopping 10 million.

This means that only around 7% of ILV’s max supply is in circulation! So how does one measure the possible future market cap?

Investors look at fully diluted value. Fully diluted value or FDV is the amount of money required to purchase all possible coins or shares in a project. In other words, it is the max supply of a token multiplied by its current price.

FDV = current price x max supply

Illuvium’s fully diluted market cap as of this moment is 572 million dollars as compared to its current market cap of 32 million dollars.

The rate at which tokens are emitted or unlocked varies widely from project to project. But generally, long-term investors must be cognizant of fully diluted market caps if they want to succeed. A sharply increasing supply can add lots of sell pressure onto an existing coin. This is because those who receive these new or unlocked coins will often realize their profits by selling them.
